Terms of Engagement

I am engaging People Matter LLC, doing business as ADOY, to provide me with career and work guidance.  These Terms of Engagement supplement the terms concerning fees, session lengths and other matters that are disclosed on ADOY’s website (the “Website Terms”).   

Acknowledgments.  I acknowledge that in this engagement:

• My ADOY advisors’ guidance will be based solely on the information I provide them.  They will not independently verify this information or conduct any other investigations as part of this engagement.
• My ADOY advisors will not provide psychological counseling or legal advice.  I will be solely responsible for deciding whether to engage qualified professionals for specialized advice and support on the topics that I discuss with my ADOY advisors.
• While I will be discussing career and work issues with my ADOY advisors, I will be acting on these discussions by myself.  I recognize that my ADOY advisors will have no control over how I interpret or act on the guidance I receive.

Release of Claims.  I agree that ADOY makes no warranties or guarantees about the guidance I receive from my ADOY advisors.  I assume all risk and responsibility for participating in this engagement.  To the fullest extent permitted by law, I hereby release and agree to indemnify and hold harmless ADOY and its members, managers, employees, contractors, representatives and agents, and their successors and assigns (“Released Persons”), from any and all claims, liability and damages arising out of or relating to this engagement, even if such claims, liability or damages arise, in whole or in part, from the negligence of any of the Released Persons.  It is my express intent that the foregoing release of claims bind my family, estate, heirs, executors, personal representatives, and other successors in interest.

Other Terms of this Engagement.  The Website Terms are incorporated into and made a part of these Terms of Engagement.  I agree that (a) these Terms of Engagement will be governed by the laws of the State of Oregon without regard to its conflict of laws principles, (b) any lawsuits arising out of or relating to these Terms of Engagement, or otherwise relating to my engagement of ADOY, will be brought exclusively in the federal and state courts in and for the State of Oregon, and I waive any claim that such courts are an inconvenient venue, (c) these Terms of Engagement contain my entire agreement with ADOY concerning their subject matter, and they supersede all prior and contemporaneous oral and written agreements, commitments and understandings concerning that subject matter, and (d) if any provision of these Terms of Engagement is held by a court to be unenforceable, the remaining provisions will not be affected, and the court is authorized to revise such provision to the minimum extent necessary to make it enforceable under applicable law.

I have carefully reviewed and am fully competent to sign these Terms of Engagement and to grant the release of claims set forth above.  Before signing these Terms of Engagement, I have consulted with an advisor or attorney of my own choosing or have voluntarily waived the right to do so.
